Refund Policy
Effective Date: January 1, 2026
1. Custom Work Is Generally Non-Refundable Once Started
Legenyx provides custom software, SaaS, automation, AI, consulting, design, integration, development, and technical services. Because these services require time, planning, labor, strategy, technical work, resource allocation, and opportunity cost, payments are generally non-refundable once work has started.
Work may include, but is not limited to:
- Discovery
- Consultation
- Audit work
- Planning
- Architecture
- Design
- Development
- AI setup
- Automation setup
- Prompting systems
- Backend work
- API integrations
- Database work
- Documentation
- Project management
- Testing
- Deployment preparation
- Research
- Technical strategy
- Client communication
- Internal team allocation
2. Deposits and Upfront Payments
Deposits, retainers, onboarding fees, audit fees, sprint fees, setup fees, and upfront payments are non-refundable unless Legenyx agrees otherwise in writing.
These payments reserve time, allocate resources, begin work, and prevent Legenyx from accepting conflicting work during that period.
3. Statement of Work Validation and No Refund After Achievement
Once a statement of work, milestone, sprint, audit, project phase, or defined deliverable has been validated, substantially completed, approved, accepted, delivered, launched, used, or otherwise achieved, the related payment is non-refundable.
A statement of work or milestone may be considered achieved when:
- The agreed scope has been substantially completed
- The client confirms approval
- The client uses the work
- The client launches or deploys the work
- The client receives the strategic, technical, design, or development value described in the scope
- The client requests new work beyond the original scope
- The client fails to provide specific written rejection within the review period
- The deliverable is blocked by client delay, third-party limitations, missing access, or changed requirements after work has been performed
Refunds are not available simply because the client changes direction, no longer needs the work, chooses another provider, delays the project, fails to provide required access, changes their business model, or expected a result outside the agreed scope.
4. Sprints and Weekly Development
Weekly development sprints are non-refundable once the sprint has started.
A sprint may include planning, development, testing, meetings, internal review, research, debugging, documentation, integrations, deployment preparation, or other technical work.
Unused time does not roll over unless expressly agreed in writing. Sprint scope must be used for the agreed project and may not be exchanged for unrelated services unless approved by Legenyx.
5. Audits and Consultations
Audits, consultations, technical reviews, workflow reviews, planning sessions, strategy sessions, and discovery services are non-refundable once scheduled, started, delivered, or partially delivered.
This includes situations where the client does not proceed with a full build after receiving recommendations, architecture, pricing, technical findings, workflow advice, or project strategy.
6. Digital Products, SaaS, and Subscriptions
For SaaS subscriptions, software access, templates, digital products, or platform access:
- Subscription fees are non-refundable once the billing period begins.
- Cancellations stop future billing but do not refund the current billing period.
- Access may remain active until the end of the paid term unless terminated for breach.
- Setup, onboarding, customization, and implementation fees are non-refundable.
7. Third-Party Costs
Third-party costs are non-refundable. These may include:
- Hosting
- Domains
- APIs
- Plugins
- Templates
- Software licenses
- Cloud usage
- AI usage
- Payment processor fees
- Marketplace purchases
- Contractor costs
- Vendor fees
- Stock assets
- Database services
- Email services
- Automation tools
If Legenyx pays or commits to a third-party cost on behalf of a client, the client remains responsible for that cost.
8. Client Delays and Missing Access
Refunds will not be issued for delays caused by the client, including:
- Failure to provide content
- Failure to provide credentials
- Failure to provide feedback
- Failure to approve deliverables
- Failure to attend meetings
- Internal client delays
- Changed priorities
- Delayed payments
- Missing documentation
- Third-party account restrictions
- Platform issues outside Legenyx's control
If a project is delayed by the client for more than 14 days, Legenyx may pause the project, reschedule work based on availability, require a restart fee, or close the project without refund.
9. Revision Requests Are Not Refund Grounds
Reasonable revisions may be provided only if included in the applicable scope.
A request for revisions, edits, fixes, styling changes, new features, additional integrations, expanded functionality, or preference-based changes does not create a right to a refund.
Out-of-scope revisions may require additional payment.
10. Bugs, Defects, and Fixes
If a client believes a deliverable contains a material defect within the agreed scope, the client must notify Legenyx in writing within 7 days of delivery.
The notice must include:
- A clear description of the issue
- Screenshots or screen recordings where helpful
- Steps to reproduce the issue
- The expected result
- The actual result
Legenyx will review valid defect reports and determine whether the issue is within the agreed scope. If it is, Legenyx may choose to fix the issue, provide a workaround, clarify intended functionality, or otherwise address the matter.
Bugs caused by third-party changes, client edits, unauthorized modifications, hosting issues, plugin updates, API changes, user error, or out-of-scope requests are not refund grounds.
11. Cancellations
A client may cancel future work by providing written notice. Cancellation does not relieve the client of responsibility for:
- Work already performed
- Work already scheduled
- Active sprint fees
- Completed milestones
- Resource allocation
- Non-cancelable commitments
- Third-party costs
- Approved or substantially achieved work
- Fees due under an invoice, SOW, or agreement
12. Chargebacks
Clients agree to contact Legenyx before initiating a chargeback.
Filing a chargeback for completed, validated, delivered, accepted, or partially performed work may be considered a breach of this Refund Policy and our Terms and Conditions.
Legenyx reserves the right to:
- Pause or terminate services
- Revoke access to unpaid deliverables
- Submit evidence to the payment processor
- Recover chargeback fees
- Send unpaid balances to collections
- Pursue available legal remedies
13. When Refunds May Be Considered
Legenyx may, at its sole discretion, consider a partial or full refund if:
- Payment was made by mistake
- Duplicate payment occurred
- Work has not started
- No resources were allocated
- No third-party costs were incurred
- Legenyx determines a refund is appropriate under the circumstances
Any approved refund may be reduced by payment processing fees, administrative costs, completed work, committed resources, and third-party expenses.
14. No Refund for Business Outcome
Refunds are not available because a client does not achieve a desired business outcome, including but not limited to:
- Revenue goals
- Investor interest
- Customer acquisition
- User adoption
- Search rankings
- Conversion rates
- Payment processor approval
- App store approval
- Platform approval
- Operational savings
- Market validation
- Funding
- Sales performance
Legenyx provides technical and strategic services, not guaranteed business outcomes.
15. Final Decision
All refund decisions are made by Legenyx in good faith based on the scope, work performed, project status, payments received, third-party costs, and applicable law.

Important Notice
These policies are intended to describe Legenyx LLC's general business practices. They do not create any guarantee, warranty, certification, fiduciary duty, or legal compliance representation unless expressly stated in a signed written agreement. Where a separate signed agreement, statement of work, or master services agreement applies, that agreement controls to the extent of any conflict.
